| Additional terms | Terms and Conditions As an authorized affiliate (“Affiliate”) of Olioboard.com Interactive Inc. (dba DesignFiles), you agree to the following legally binding Terms and Conditions (“Agreement”). Your participation in the Program is solely to lawfully promote DesignFiles and earn commissions on paid memberships purchased by individuals referred through your unique affiliate link. By signing up for the DesignFiles Affiliate Program (“Program”), you indicate acceptance of this Agreement and all related policies referenced herein. 1. Approval or Rejection of Application You must be an active DesignFiles member to participate. DesignFiles may approve or reject any application at its sole discretion and may revoke participation at any time without cause or liability. 2. Commissions Rate: 100% of the first month’s subscription payment for each new paid account. Payout Schedule: Monthly, once your balance reaches USD $69. Holding Period: Referred accounts must remain active for ≥ 91 days before payout. Refunds / Chargebacks: Transactions that are refunded, canceled, or disputed are ineligible. One Commission per Referral: Only the first paid subscription qualifies. No Self-Referrals: You may not refer yourself or accounts you control. Tracking Integrity: Commissions are tracked via cookies and unique links. DesignFiles is not liable for loss of tracking due to ad blockers, cookie deletion, or device changes. 3. Termination Your account may be suspended or terminated at any time for: false or misleading advertising; spam or unsolicited communications; adult / illegal content promotion; violation of intellectual-property rights; failure to disclose affiliate relationship as required by law; unapproved rebates, kickbacks, or coupons; fraud, self-referrals, cookie stuffing, redirect manipulation; violation of the PPC and Trademark Bidding Policy (Section 6); or any conduct that DesignFiles deems harmful to its brand or business. Termination may result in forfeiture of unpaid commissions. 4. Affiliate Links and Promotional Materials Use only DesignFiles-approved graphics and copy or submit custom creative for approval. Do not copy, resemble, or mirror the look and feel of the DesignFiles website or ads. You must not create the impression that your site or ad is operated by DesignFiles (e.g., framing, layout replication, “official DesignFiles” claims, or search/social ads that mimic our branding). You may not use “DesignFiles,” “Design Files,” “Olioboard,” or similar terms in domain names, social handles, or display URLs. Placement Limits: Affiliate links may appear only on (i) websites or channels you own and control; (ii) legitimate content or community platforms (e.g., Reddit, Facebook, Instagram, LinkedIn, X); and (iii) private email or messaging that complies with anti-spam laws. Links on platforms that ban affiliate promotion (such as Pinterest without written approval) are not permitted. Accuracy: All prices, plans, and offers must match official DesignFiles pricing. Do not publish out-of-date or inflated discounts. 5. Coupon and Deal Sites Only coupons provided directly by DesignFiles may be promoted. You may not imply that other discounts exist. No “Click for Coupon” or “Reveal Deal” functions without an active approved offer. No bidding on “DesignFiles coupon,” “DesignFiles discount,” or similar phrases. 6. PPC and Trademark Bidding Policy Affiliates may not engage in paid search or PPC advertising that targets DesignFiles branded terms or competes with DesignFiles campaigns. You may not: bid on “DesignFiles,” “Design Files,” “Olioboard,” or any variations/misspellings; use those terms in ad titles, copy, display URLs, or keywords; use DesignFiles URLs (or misspellings/redirects) as landing pages or display URLs; purchase ads that divert traffic from DesignFiles ads or appear to be official; use broad-match bidding that could trigger on our brand; or employ cookie stuffing, hidden iframes, auto-redirects, or masked referrers to force tracking cookies. Violations result in immediate termination and forfeiture of commissions. 7. Liability DesignFiles is not liable for indirect or incidental damages (loss of revenue, commissions, or data) arising from tracking failures or platform outages. No express or implied warranties are made. 8. Term and Modification This Agreement begins upon acceptance and continues until terminated by either party. DesignFiles may modify these Terms at any time; continued participation constitutes acceptance of changes. 9. Confidentiality and Data Protection Affiliates must keep all DesignFiles data, marketing materials, and referral information confidential and use them only for Program purposes. Affiliates may receive advance information on upcoming promotions; such information is confidential and may not be shared or promoted before the official release date. Unauthorized disclosure may result in termination and forfeiture of commissions. Compliance with applicable privacy laws (GDPR, CCPA, etc.) is required. 10. Indemnification Affiliate shall indemnify and hold harmless DesignFiles, its officers, directors, employees, and agents from all claims, losses, or expenses (including legal fees) arising from Affiliate’s breach of this Agreement or misuse of the Program. 11. Governing Law This Agreement is governed by the laws of Canada and the Province of Ontario. All disputes shall be resolved exclusively in the courts of Toronto, Ontario. 12. Electronic Acceptance Completing the DesignFiles or Refersion application constitutes an electronic signature and acceptance of this Agreement. |
